It does indeed depending on your APM settings. Most leave it default so the message shows, at which point you just hold the power button down for a few seconds. On modified systems, or those with certain updates or config's it may not show up.

I am running windows XP 64-bit right this moment and I can get the "safe to shut down" message if I pulled an update, system change, or other major operation requiring the kernel to be put aside.
