Since everyone is posting their favourite theory, I'll post mine.
When a gladiator won a fight, the person deciding the losers' fate could do two things. The first choice would be to give a thumbs up, which represented a drawn sword, meaning to take his life. A fist where the thumb is inbetween the hand and the fingers represented a sheathed sword, meaning to spare the loser.

Theres several ideas on the matter.

However a notable one is the idea that the thumbs up was a version of slitting a persons throat. i.e. if you were to make a threat to kill someone... you would make a thumb and then run it across your neck however a gladiator couldn't see that motion from high up, so instead the hand displaying thumbs up was held high.

The thumbs down was a motion to drop your weapon as most gladiators were usually slaves and not allowed to keep their weapon with them once they had left the combat area.
