Chocolate contains theobromine which is toxic to humans aswell as dogs. Humans can digest theobromine before it begins to build up and take affect on us, whereas dogs can't metabolize it quickly which causes a build up and causes a Cardiac Arrest. All this varies on the size and weight of the dog, and the type of chocolate.

....also OP, the last fact was shown to be wrong on the program QI :)

Apparently there were studies conducted about this and the only type of chocolate that makes dogs sick (not die) is German dark chocolate.
